1. Registration for Membership

Membership is open to individuals who are 16(sixteen) of age or older. These Terms shall remain in full force and effect while you are a user of the website.

There are certain parts of the website that we make available to the general public without registering and you may browse these parts without obligations that come from being a member; provided that we have the right to make changes, limit or restrict the usage of these certain parts at any point in time or from time to time in our discretion, without notice to you.

At your discretion, you may upload an avatar to be connected with your Membership. The avatar might be a photograph of yourself or another picture. You represent, warrant, and agree that you have the required intellectual property ownership rights to exhibit the avatar in this manner by uploading the avatar. If you opt to upload an avatar, Researchgains may use it on the Website and mark it with your username. For example, your image and username will be visible within another Member's account since that Member either invited you or you joined the Website using their referral code. You thus grant Researchgains a non-exclusive, royalty-free, worldwide license to display your avatar and user name on the Website.

You are entirely responsible for any activity that occurs with your login credentials and for keeping your password secure. Your login credentials are unique to you, and you may not share them with anyone else under any circumstances. Without Researchgains authorization, you may never use another Member's account. We are not liable for any damage or loss resulting from the theft, misappropriation, or disclosure of all or a portion of your login credentials, or your authorization of anyone else to use your login credentials. You undertake to alert Researchgains promptly if you become aware of or suspect any unauthorized use of your login credentials, or if you have any other security concerns.

Although Researchgains will not be liable for your damages as a result of any unauthorized use of your account, you may be liable for Researchgains or others' losses as a result of such unauthorized use.

2. Membership Cancellation

You may terminate your Membership at any moment by contacting support [@] Researchgainscom. Researchgains maintains the right, at any time, for any or no reason, with or without prior notice, and without liability, to restrict, suspend, or terminate your access to all or any part of the Website and/or your Membership account. If you discontinue your Membership with Researchgains, the Rewards in your account will be forfeited. These Terms shall continue in force even after your Membership is canceled.

Without limiting the above, you understand and agree that if you do not log in to your account for six (6) months or longer, we have the right to cancel your account at our sole discretion. In such an occurrence, regardless of balance, any Rewards would no longer be eligible for redemption.

3. General Rules of Conduct

All relevant local, state and national laws and regulations are applicable to your use of the Website and membership on the Panel. All actions act, and omissions that occur in, from, through, or under your Membership are exclusively your responsibility. Researchgains has the right to investigate and take necessary legal action against anybody who breaches these Terms in our sole discretion. You must not use, allow, or enable others to use the Website, or knowingly condone other people's use of the Website, in any way that intends to, or is likely to, advance or promote any criminal activity or enterprise, or offers instructional material on unlawful crimes.

The number of emails that a Member may send every 24 hours asking others to sign up is subject to limitations by Researchgains. You recognize that if you violate these Terms by sending any form of unwanted message through the Website, Researchgains would have suffered significant harm from you, but it would be very challenging to calculate the exact amount. Additionally, you consent to not obstruct, disturb, or place an unreasonable strain on the Website.

You agree not to circumvent, disable, or otherwise interfere with security-related features of the Website or features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Website or the Content therein. Any unauthorized or prohibited use of any Content, including use in contravention of these Terms, may subject you to civil liability, criminal prosecution, or both.

You acknowledge and agree that the frequency and number of your survey opportunities depend in part on the quality of your participation as a Member. We do not promise to send you any minimum number of survey opportunities.

You understand and accept that the quantity and regularity of your survey chances are influenced by your level of Member involvement. We make no guarantees regarding the number of survey opportunities we will provide you.

In addition to the aforementioned, you agree that you will refrain from using the website for any of the following activities:

• Engaging in any fraudulent activity, such as speeding through surveys, taking the same survey more than once, hiding or faking your identity, providing false information when registering, providing false or inaccurate survey data, or attempting to use false or fraudulent methods to redeem Rewards, prizes, or incentives.

• Utilizing proxy servers, hiding your genuine identity, or acting in any other way that, in our exclusive and unqualified judgment, shows an attempt to misuse the website or your membership;

• exploiting the website's communication services for any commercial soliciting purposes, or collecting or harvesting any personal information from the site, including but not limited to user names;

• And any other actions or inactions that may amount to fraudulent disposition.

4. Confidential Information

You may have access to or be exposed to confidential information of Researchgains Clients as a result of your use of the Website and participation in Research. Such information may include, but is not limited to, any questions posed to you and any proposed solutions to those questions, replies you submit, product ideas, marketing concepts, materials, and other proprietary information ("Restricted Content"). You agree to keep the Restricted Content confidential and secret, and you agree not to modify, copy, reproduce, re-publish, display, transmit, share with others, otherwise distribute, create derivative works of, or otherwise use, alter, or transfer Restricted Content without Researchgains prior express written consent. You understand and accept that Restricted Content may be subject to intellectual property laws and regulations and that it is protected by them.

5. Membership Earnings

By completing surveys and other types of research as well as taking part in promotions on the website, including but not limited to competitions and sweepstakes, members of Researchgains or its affiliates may provide possibilities for them to win money and incentives (the "Rewards").

You recognize that no agency, partnership, joint venture, employee-employer, or franchisor/franchisee relationship is intended or established by these Terms and that you are engaging in this as an independent contractor. You further understand and concur that any Rewards granted to you are not prorated on an hourly basis or in any other way because you participated in the Research out of a desire to express your ideas and offer feedback. You are using your independent judgment and discretion when participating in Research, which is not under the supervision or direction of any other person or organization. You consent that any Rewards awarded to you represent fair value for your involvement by being given the chance to participate and by obtaining the Rewards.
